Consent of the Shareholders' Meeting of Bumar on the sale of URSUS - the fulfillment of the first precedent condition

Contents of the report:

With reference to the Current report 9/2011 (April 26, 2011) and concluded on April 26, 2011 with the company Bumar sp. z o.o. sales contract for tractors brand "URSUS", sales contract for trademarks "URSUS" and the contract for the sale of shares in URSUS sp. z o.o. headquartered in Warsaw, the Management Board of POL-MOT Warfama SA announces that on May 10,2011 received information from the company Bumar sp. z o.o. that the day before (May 9, 2011) the Extraordinary Shareholders' Meeting of Bumar sp. z o.o. had passed the Resolution No. 7/2011 on the consent for the sale (held by Bumar sp. z o.o.) Ursus sp. z o.o. shares and disposal of fixed assets Bumar sp. z o.o. in the form of trademarks of Ursus sp. z o.o. Thus,one of the precedent conditions from which was dependent the entry intoforce ofthe abovementioned Agreement is fulfilled.

Currently, completion of the transaction is subject only to obtaining the consent of the President of the UOKiK in the field of concentration. The position of the President of the UOKiK, the Issuer will inform in the current report immediately upon receipt of relevant information.

The full valueof sales contract for tractors brand "URSUS", sales contract for trademarks "URSUS" and the contract for the sale of shares in URSUS sp. z o.o. headquartered in Warsaw exceeds10% of the equity of the Issuer. Other conditions of agreements do not depart from the standard, generally accepted at this type of contract.
