Title:

Information on transactions of persons with access to inside information

art. 160 sec. 4 of the Act of July 29, 2005 on trading in financial instruments

 

Message:

The Management Board of the Issuer hereby announces that on 3 April 2013 the Company received a notification dated 28 March 2013 from a member of the Supervisory Board of the Issuer, submitted in compliance with art. 160 sec. 1 of the Act of July 29, 2005 on trading in financial instruments (Journal of Laws of 2010 No. 211, item 1384 as amended).

With this notification, the Issuer was informed about transactions of disposal of the Issuer’s shares made by the entity closely related to the notifying party, i. e. the company POL-MOT HOLDING S.A. on 25 March 2013.  POL-MOT HOLDING S.A. POL-MOT HOLDING S.A. executed transaction of disposal of  7.000 the Issuer’s shares at the rate of 3,2533 per share.

The above mentioned transaction of disposal of the Issuer’s shares was executed on regulated market of the WSE in Warsaw during the session.

Before execution of this transaction, POL-MOT HOLDING S.A. held 13.641.805 of URSUS S.A. shares constituting 61,50% of the Issuer’s share capital, entitling to 13.641.805 votes at the Issuer’s General Meeting, which amount to 61,50% of the general number of votes at the Issuer’s General Meeting. After execution of this transaction, POL-MOT HOLDING S.A. holds 13.634.805 shares of URSUS S.A. constituting 61,47 % of the Issuer’s share capial, entitling to  13.634.805 votes at the Issuer’s General Meeting, which amount to 61,47% of the general number of votes at the Issuer’s General Meeting.

The person obliged to notification according to  § 3 point 2 of the Regulation of the Minister of Finance dated 15 November 2005 on providing and giving access to information on certain transactions in financial instruments and the rules of drawing up and keeping the register of persons having access to certain confidential information (Journal of Laws of 2005, 229, item 1950), did not agree to publish his personal data.
