Registration of increase of the share capital and change of the Articles of Association

Message:
The Management Board of URSUS S.A. with the seat in Dobre Miasto (Issuer) informs that on 5 April 2013 the Company was notified that with decision of the District Court in Olsztyn, VIII Economic Division of the National Court Register of Entrepreneurs of 28 March 2013 the increase of the Issuer’s share capital was registered from 22.180.000 (twenty two milion one hundred eighty thousand) to the amount of 26.180.000 (twenty six milion one hundred eighty thousand) PLN, i.e. by the amount of 4.000.000 (four milion) PLN by issue of 4.000.000 (four million) ordinary N series bearer shares of nominal value o 1 (one) PLN per share, as well as was the change in the Issuer’s Articles of Association resulting from the Resolution no. 4/2012 adopted by the Extraordinary General Meeting on 31 August 2012, about which the Issuer informed in the current report no. 23/2012 dated 2 September 2012. The general number of votes resulting from all shares issued by the Issuer after registration of the share capital increase by issue of shares N series at the moment amounts to 26.180.000 (twenty six million one hundred eighty thousand).
With regard to the above changes, as attachment to this current report the Issuer provides the single text of the Articles of Association (attachment no.1 – in Polish) and information of introduced changes (attachment no.2 – in Polish)
The legal basis of transmission of this current report is § 5 ust. 1 point 9, § 15 and § 38 sec. 1 point 2 of the Regulation of the Minister of Finance dated 19 February 2009 regarding current and interim reports published by issuers of securities and the terms of finding as equivalent the information required under the laws of any non-member state (Journal of Laws, 2009 No 33, point 259 with subsequent changes).
