Appointment of a new proxy

Legal basis:

Art. 56 sec. 1 point  2 of the Act on Public Offering – current and periodical information

Message:

The Management Board of URSUS S.A. hereby informs that on the 11th April 2016  passed a resolution to grant the power of proxy to Mrs. Joanna Lisowska-Janowska. The newly established proxy must act jointly with one Member of the Management Board or other proxy (joint commercial representation). The resolution comes into force upon adoption.

The educational background and professional career of Mrs. Joanna Lisowska-Janowska are presented below:

Education:

/2015-2016/ Kozminski University in Warsaw, post-graduate studies: Human Resources and Payroll in law and practice.

 /2014-2015/ Kozminski University in Warsaw, post-graduate studies: Human Resource Management for HR Managers.

/2012-2013/ Warsaw University, post-graduate studies: Company Law.

/2005-2010/ University of Warmia and Mazury in Olsztyn: Law, Master’s degree, with specialization: civil law.

/2004-2007/ University of Warmia and Mazury in Olsztyn: Administration, Bachelor's degree, with private-law specialization.

Professional career:

/2014-till now/ URSUS S.A. in Lublin, Director of Organization and Management Department.

/I-VIII 2014/ URSUS S.A. in Lublin, Manager of the Organization and Management Unit, the President’s Proxy for Organizational Supervision.

/2013-2014/ URSUS S.A. in Lublin, Assistant to the Management Board.

/2010-2013/ POL-MOT Warfama S.A. in Dobre Miasto, Assistant to the Management Board.

/2008-2010/ District Board of Infrastructure in Olsztyn,  Assistant to the Head of the Board.

Mrs. Joanna Lisowska-Janowska does not run a business in other competitive company and she is not a partner of any capital companies or partnerships. Moreover, there have been no records concerning Mrs. Joanna Lisowska-Janowska in the Registry of Insolvent Debtors, kept on the basis of the Act on the National Court Registry.

The legal basis of this report is§ 5 section1 point 22 and § 28 of the Regulation of the Minister of Finance of 19 February 2009, regarding current and interim information submitted by issuers of securities and the terms governing recognition of information required by the laws of a non-member state as equivalent information (Polish Journal of Laws, No. 33, item 259).
