The consentof the President of the UOKiK in the field  of concentration - the fulfillment of the second precedent condition

Contents of the report:

With reference to the Current report 9/2011 (April 26, 2011) , Current report 11/2011 (May 10, 2011), and concluded on April 26, 2011 with the company Bumar sp. z o.o. sales contract for tractors brand "URSUS", sales contract for trademarks "URSUS" and the contract for the sale of shares in URSUS sp. z o.o. headquartered in Warsaw, the Management Board of POL-MOT Warfama SA announces that on June 18,2011 the Company obtained the President ofthe UOKiK’s consent No. DKK - 66/2011 in the field of concentration to take overUrsus sp z o. o.

The decisionof the President of the UOKiK approving concentration, means that the second and the last precedent condition from which was dependent the entry into force of the abovementioned Agreement was fulfilled.

Within 7working days of receiving the decision of the President of the UOKiK the Issuer will sign with the company Bumar sp. z o.o. closure protocols for each of the agreements and will become the owner of the trademark “URSUS”, 100% shares of Ursus sp. z o o in Warsaw and no more than 102 tractors"URSUS". About the closing of the transaction the Issuer will inform in a separate report.

 The full value of sales contract for tractors brand "URSUS", sales contract for trademarks "URSUS" and the contract for the sale of shares in URSUS sp. z o.o. headquartered in Warsaw exceeds10% of the equity of the Issuer. Other conditions of agreements do not depart from the standard, generally accepted at this type of contract.

Pursuant to § 5 section 1 point 3 in conjunction with § 9 of the Minister of Finance Regulation of 19 February 2009 on current and periodic reporting by issuers of securities and the rules of equal treatment of the information required by the laws of non-member states (Journal of Laws of 2009 No. 33, item 259, later amended).
