Conclusion of the cooperation agreement with the dominant company

Contents of the report:

The Management Board of URSUS S.A. hereby announces that on 1 September 2012 URSUS S.A. concluded the agreement of cooperation with POL-MOT Holding S.A. in Warsaw, being dominant company to the Issuer. On the basis of this agreement, POL-MOT Holding S.A. will sell and supply to the Issuer lubrication products in quantity complying with his needs and requested parameters, having positive effects on viability and performance of URSUS tractors. The parties agreed that the agreement will come into effect on 1 September 2012 and will remain in force till 31 July 2017.

Guarantee of supplies of lubrication products within a specified period of time, with requested parameters and in necessary quantities, assures the Issuer reliability of purchase and stability of supplying URSUS S.A. with lubricants recommended for use in tractors and agricultural machinery. The price agreed by the parties for lubrication products purchased by the Issuer is appropriate for this type of agreements.

Other provisions of the above mentioned agreement do not differ from the terms commonly used in agreements of cooperation related to placing orders for products, however the Issuer has no obligation of making orders of defined quantities, correlated with the obligation of POL-MOT Holding. The agreement is limited to assuring priority to POL-MOT Holding in supplying the Issuer with lubrication products.
