Contents of the report:

Pursuant to § 5 section 1 point 22 in conjunction with § 28 of the Minister of Finance Regulation of 19 February 2009 on current and periodic reporting by issuers of securities and the rules of equal treatment of the information required by the laws of non-member states (Journal of Laws of 2009 No. 33, item 259, later amended) the Management Board of POL – MOT Warfama S.A. informs thaton June 30, 2011, The Supervisory Board adopted Resolution No. 385/2011 of the appointment Mr. Wojciech Zachorowski as a Member of the Board on July 1, 2011.

WojciechZachorowski graduated from the Faculty of Automotive and Construction Machinery Engineering, Warsaw University of Technology with a specialization in cars and tractors, obtaining a master's degree in mechanical engineering. In 1988 he joined the PHZ POL-MOT as a technical specialist. Mr. Zachorowski continued work in this company in 1989-1990 as a tradesman in the Department Import Truck, then he was the representative of PHZ POL-MOT in Austria (1990-1991) and Head department of Industrial Cooperation with Foreign Countries (1991-1992). After privatization of the company, he worked as Deputy Director of Import Division of POL-MOT Trading sp. z o. o. (1992-1993) and in POL-MOT Electronics sp. z o.o. as a Board Member (1994-1996). In 1996-1997 he was Deputy Director of Development in the company POL-MOT Holding SA and Board Member in 1997-2002. In 2002-2003 he was a President of the Board of ITFuture Polska sp. z o. o., and since 1996 he has been a Chairman of the Supervisory Board of TIMEX SA. Abroad, Mr. Zachorowski founded his own company (BDC Polska Wojciech Zachorowski) and continued cooperation with the Group POL-MOT Holding as an external consultant (2002-2005), taking part also in projects of distribution cars, sales network of tractors and agricultural machinery and plans of acquisitions in the subsequent years. Recently, he participated in the implementation of construction sales and service network pick-up car brand Grand Tiger, produced by the company POL-MOT Warfama SA

Mr. Wojciech Zachorowski doesn’t run a business in other competitive company, either isn’t partner of capital companies or partnerships. There have been no records concerning Mr. Wojciech Zachorowski in the Registry of Insolvent Debtors, kept on the basis of the Act on the National Court Registry.

After resignation ofMr. Tomasz Horbal and appointed a new member of the Management Board at the Supervisory Board Meeting held on June 30,2011 the Issuer's Management Board from 1 July 1, 2011 is as follows:
