Acquisition of 5 million shares and increase of the share capital

Message:

The Management Board of the Issuer informs that on the 1^st July 2014:

The Issuer offered the company POL-MOT Holding S.A. with the seat in Warsaw as an entitled entity 15 000 000 Subscription Warrants of Series 1 of the Company, used on the basis of the Resolution no. 24/2014 of the Ordinary General Meeting of the 26^th May 2014, entitling to acquire 15 000 000 (say: fifteen millions) ordinary bearer shares of series O of the Company („O Series shares”), of nominal value 1 (one) PLN each share, at the issuance price of 2 PLN (say: two) in the period from the day of taking up Subscription Warrants of Series 1. till the 31^st May 2015.
The company POL-MOT Holding S.A. with the seat in Warsaw acquired offered 15 000 000 Subscription Warrants of Series 1 of the Company.
The Issuer provided the company POL-MOT Holding S.A. with the seat in Warsaw with three registered global certificates in total for 15 000 000 Subscription Warrants of Series 1. of numbers from 00 000 001 to 15 000 000.
The company POL-MOT Holding S.A. with the seat in Warsaw made a declaration of the exercise of the right of acquisition of 5 000 000 shares of series O of the company URSUS S.A. with the seat in Lublin.
In connection with the coverage by POL-MOT Holding S.A. with the seat in Warsaw of 5 000 000 ordinary bearer shares of series O from no. 00000001 to no. 05000000 of the nominal value of 1 PLN (one PLN) each share, at the issuance price of 2 PLN (two PLN) each share, the Management Board of the Issuer issued 5.000.000 (five millions) shares of O series to the company POL-MOT Holding S.A. with the seat in Warsaw and by the amount of 5 000 000 PLN the company’s share capital was increased.

After the above today’s operations, the share capital of URSUS S.A. is 31 180 000 PLN, is fully paid up and consists of 26 180 000 dematerialised shares and 5 000 000 shares in a certificated form.

The company POL-MOT Holding S.A. together with its subsidiary - the company Aquarius VII limited liability company SPV IX joint-stock limited partnership (the new name of the company is: Reo limited liability company Inwestycje S.K.A.) holds 20 529 000 shares, which represents 65,84% of the total number of shares URSUS S.A. and entitles to 20 529 000 votes at the General Meeting of the Issuer, what represents 65,84% of the total number of votes.
