Information on transactions by persons with access to inside information

Contents of the report:

The Management Board of the Issuer hereby announces that on 23 November 2012 the Company received notifications from a member of the Supervisory Board of the Issuer submitted in compliance with art. 160 sec. 1 of the Act of July 29, 2005 on trading in financial instruments (Journal of Laws of 2010 No. 211, item 1384 as amended). With these notifications, the Issuer was informed about transactions of disposal and acquisition of the Issuer’s shares made by the entity closely related to the notifying party, i. e. executed by the company POL-MOT HOLDING S.A. with POL-MOT Auto S.A. on 20 and 21 November 2012 and settled on 20 and 22 November 2012. The transactions were executed as follows:

- on 20 November 2012 the company POL-MOT Holding S.A. sold the company POL-MOT Auto S.A. 1.100.000 the Issuer’s shares of at the rate of 3,45 PLN per share. Afterwards, on  20 November 2012, the company POL-MOT Holding S.A. purchased form the company POL-MOT Auto S.A. 1.100.000 the Issuer’s shares of at the rate of 3,45 PLN per share. The transaction of purchase of shares by POL-MOT Holding S.A. form POL-MOT Auto S.A. was settled on 21 November 2012.

- on 21 November 2012 the company POL-MOT Holding S.A. sold the company POL-MOT Auto S.A. 1.100.000 the Issuer’s shares at the rate of 3,47 PLN per stock. Afterwards, on  20 November 2012, the company POL-MOT Holding S.A. purchased form the company POL-MOT Auto S.A. 1.100.000 the Issuer’s shares of at the rate of 3,47 PLN per stock.  The transaction of purchase of shares by POL-MOT Holding S.A. form POL-MOT Auto S.A. was settled on 22 November 2012.

The above mentioned transactions of disposal and acquisition of the Issuer’s shares were executed as block transactions.

Before execution of these transactions, POL-MOT HOLDING S.A. held 13.732.242 shares of URSUS S.A. constituting 61,91% of the Issuer’s share capital, entitling to 13.732.242 votes during the Issuer’s General Meeting, which amount to 61,91% of the general number of votes during the Issuer’s General Meeting. After execution of these transactions, the share of POL-MOT HOLDING S.A. in the share capital of URSUS S.A. and the number of votes at the Issuer’s General Meeting have not changed.

The person obliged to notification according to  the Regulation of the Minister of Finance dated 15 November 2005 on providing and giving access to information on certain transactions in financial instruments and the rules of drawing up and keeping the register of persons having access to certain confidential information (Journal of Laws of 2005, 229, item 1950), did not agree to publish his personal data.
