Message:
The Management Board of URSUS S.A. announces that on the 29th July 2014 the Company received a notice dated the 29th July 2014 from a member of the Supervisory Board of the Issuer submitted in compliance with Art. 160 sec. 1 of the Act on Trading in Financial Instruments dated July 29th 2005 (Dz.U.2010.211.1384, as amended.). In the notification the Issuer has been informed about the transaction of sale of Issuer’s shares made by an entity closely related to the notifying party, i.e. the company POL-MOT HOLDING S.A. The company POL-MOT Holding S.A. on the 28th July 2014 sold in total 1.800.000 shares of the Issuer at the average rate of 2,00 PLN per share.
The above transaction of sale of the Issuer’s shares was set out on in block transactions, as a OTC transaction.
Before the above transaction POL-MOT HOLDING S.A. held 11.800.000 shares of URSUS S.A. which represented 37,84% of the Issuer’s share capital and entitled to 11.800.000 votes at the General Meeting of the Issuer, what represented 37,84% of the total number of votes at the Issuer’s General Meeting. Together with its subsidiary - the company Aquarius VII limited liability company SPV IX joint-stock limited partnership (the new name of the company is: Reo limited liability company Inwestycje S.K.A.), POL-MOT HOLDING S.A. before the above transaction held 17.429.000shares of URSUS S.A. representing 55,9% % of the Issuer’s share capital, entitling to 17.429.000 votes at the General Meeting of the Issuer, what represented 55,9% of the total number of votes at the Issuer’s General Meeting.
Now POL-MOT HOLDING S.A., after the above transaction, on its own holds 10.000.000 shares of URSUS S.A. which represents 32,07% of the Issuer’s share capital and entitles to 10.000.000 votes at the General Meeting of the Issuer, what represents 32,07% of the total number of votes at the Issuer’s General Meeting, while together with its subsidiary - the company Aquarius VII limited liability company SPV IX joint-stock limited partnership (the new name of the company is: Reo limited liability company Inwestycje S.K.A.) holds in total 15.629.000 shares of URSUS S.A. representing 50,13% of the Issuer’s share capital and entitling to 15.629.000 votes at the General Meeting of the Issuer, what represents 50,13% of the total number of votes at the Issuer’s General Meeting.
The person obliged to notification according to the Regulation of the Minister of Finance of 15 November 2005 on providing and giving access to information on certain transactions in financial instruments and the rules of drawing up and keeping the register of persons having access to certain confidential information (Journal of Laws of 2005, 229, item 1950), did not agree to publish his personal data.
