The conclusion oflicense agreement for theURSUS trademarks

Acting according to Article 56 Section 1 Point 1of the Act of 29 July 2005 on Public Offer and the conditions for introducing financial instruments to the organized trading system, and on public companies (Consolidated text: Polish Journal of Laws 2009, No. 185, item 1439, later amended) the Management Board of POL–MOT Warfama S.A. informs that on November 7, 2011 the Issuer concluded with the company Zakład Produkcyjno-Handlowy ROL-MAR Andrzej Markowski the License Agreement to use URSUS trademarks in determining parts for tractors. Based on this agreement the Issuer has granted ZPH ROL-MAR Andrzej Markowski, up to 31 December 2016, the exclusive license to use URSUS trademarks for the purpose of ZPH ROL-MAR Andrzej Markowski economic activity in the production, sale and distribution of parts for tractors in Poland. The aforementioned license is granted for a fee.
As part of this exclusive license ZPH ROL-MAR Andrzej Markowski is authorized to designate URSUS trademarks manufactured, marketed and distributed by each tractor parts and rely on the fact that he is the sole licensed manufacturer, marketer and distributor of spare parts for URSUS tractors. In accordance with the contractual arrangement, POL-MOT Warfama SA has the ability to control the quality of all the offered parts for tractors brand URSUS. Other terms of the agreement did not differ from those commonly used for this type of agreement.

The conclusion of the above-described license agreement will enable the company POL-MOT SA Warfama placing on the market high-quality original parts for tractors brand URSUS and implementation of revitalization strategy by the Issuer in the URSUS segment spare parts.

After concluding by the Issuer the license agreement to use trademarks in determining of the Ursus tractor with the Zakład Produkcyjno-Handlowy ROL-MAR Andrzej Markowski , the only parties authorized to use URSUS trademarks are Issuer and ZPH ROL-MAR Andrzej Markowski. At the date of publication of this report, no other entity is authorized to use URSUS trademarks owned by the Issuer.
In the case of obtaining information by the Issuer about the use of URSUS trademarks against Issuer’s will, POL-MOT Warfama S.A. will take legal actions to prevent the use of its trademarks by unauthorized parties.
