Contents of the report:

Referring to the current report 14/2009, the Management Board informs that in order to fulfil the co-operation agreement (the current report 5/2009 from 2th of February of 2009), POL-MOT Warfama S.A. and INVEST-MOT sp. z o.o. concluded the disposal of Bioenergia Invest sp. z o.o. shares on 24th April of 2009. On the basis of above agreement, on the day of entering of the contract the Issuer purchased 607 shares of the related entity including debt as paying in advance. As from 25th April of 2009 to 25th December of 2009 the Issuer will hold 61 shares for 61.000 PLN. On the day of report the Issuer has 3.617 shares of Bioenergia Invest sp. z o.o. in Dobre Miasto, which gives 44,56% of votes in the General Shareholders’ Meeting. After fulfilment the agreement from 24th April of 2009 the Issuer will hold 3.978 shares of Bioenergia Invest sp. z o.o. in Dobre Miasto, which ensures to hold 49% of votes in the General Shareholders’ Meeting.

Moreover the Issuer has a irrevocable and absolutely right to purchase shares of Bioenergia – Invest sp. z o.o. in the amount which would entitle Pol-Mot Warfama to hold no more than 51% of votes in the General Shareholders’ Meeting (call option) to the 2th February of 2011.
