Contents of the report:
The Management Board of URSUS S.A. announces that on January 23, 2013 the Company received a notice dated January 21, 2013 from a member of the Supervisory Board of the Issuer submitted in compliance with Art. 160 sec. 1 of the Act on Trading in Financial Instruments dated July 29th 2005 (Dz.U.2010.211.1384, as amended.). In the notification the Issuer has been informed about transactions of sale of Issuer’s shares made by an entity closely related to the notifying party, i.e. the company POL-MOT Holding SA . POL-MOT Holding SA on January 17, 2013 has sold 31 007 shares of the Issuer at the rate of PLN 4.10 per share and on January 18, 2013. has sold 59 430 shares of the Issuer at the rate of PLN 4.07 per share.
The above transactions of sale of shares of the Issuer are set out on the regulated market of Warsaw Stock Exchange in Warsaw during the session.
Before the above-mentioned transactions POL-MOT Holding SA held 13 732 242 shares of URSUS SA representing 61.91% of the Issuer's share capital entitling to 13 732 242 votes at the General Meeting of Shareholders, which accounted for 61.91% of the total number of votes at the General Meeting of the Issuer.
After the above transactions POL-MOT Holding SA holds 1 364 805 shares of URSUS SA representing 61.50% of the share capital of the Issuer's giving the right to 1 364 805 votes at the General Meeting of Shareholders, which represents 61.50% of the total number of votes at the General Meeting of the Issuer.
The person obliged to provide information in accordance with § 3 paragraph 2 of the Decree of the Minister of Finance dated 15 November 2005 on the disclosure of information on certain transactions in financial instruments and principles of making a list of people who have access to certain confidential information (Dz.U.2005.229.1950), did not consent to the publication of personal data.
