Contents of the report:

Referring to the current reports 36/2009 and 14/2009, the Management Board informs that after purchasing 61 shares of Bioenergia Invest sp. z o.o. for 61.000 PLN, the Issuer fulfilled the co-operation agreement (the current report 5/2009 from 2th of February of 2009). The Issuer owns 3.978 shares of Bioenergia Invest sp. z o.o. in Dobre Miasto, which ensures to hold 49% of votes in the General Shareholders’ Meeting. On 25th January of 2010 the Bioenergia Invest sp. z o.o. initial capital amounts 8.118.000 PLN.

The shareholders structure:

Invest-Mot sp. z o.o. in Warsaw owns 4.140 shares (1PLN each) and holds thus 51% of the initial capital,

POL – MOT Warfama S.A. in Dobre Miasto - 3.978 shares (1PLN each) and holds thus 49% of the initial capital.

Moreover the Issuer has a irrevocable and absolutely right to purchase shares of Bioenergia – Invest sp. z o.o. in the amount which would entitle Pol-Mot Warfama to hold no more than 51% of votes in the General Shareholders’ Meeting (call option) to the 2th February of 2011.
